Ron Jeremy: Hospitalized for Two Weeks

He came close to meeting his maker yesterday (January 30) when he suffered a heart aneurysm and rushed to the emergency room, and Ron Jeremy has a long stay in the hospital ahead of him.

According to a report, the prolific porn star underwent two emergency surgeries to repair the life-threatening issue and will remain under doctor’s care for two weeks.

Jeremy initially experienced a heavy feeling in his chest and drove himself to the Cedars-Sinai Medical Center in Los Angeles where he was diagnosed and immediately taken into the operating room.

Ron’s agent Mike Esterman released a statement to say that his client is in critical condition at this time but is expected to pull through.

Delaware Has No Per Se Rule Against "Don't Ask, Don't Waive" Standstill Provisions, But Boards Must be Careful in Using Them

In In re Ancestry.com Inc. Shareholder Litigation, C.A. No. 7988-CS, Chancellor Strine of the Delaware Chancery Court held that Delaware has no per se rule against “don’t ask, don’t waive” standstill provisions, but cautioned that boards using “a powerful tool like that” need to deploy it consistent with their fiduciary duties. This decision comes less than three weeks after another Delaware judge (Vice Chancellor Laster) enjoined a target company from enforcing a “don’t ask, don’t waive” standstill provision in In re Complete Genomics, Inc. Shareholder Litigation, C.A. No. 7888-VCL.

“Don’t ask, don’t waive” standstill provisions prohibit the counterparty potential bidder from making a non-public request that the target company waive the terms of the standstill provision. They have become common in the public company auction process. Chancellor Strine’s ruling provided needed guidance to boards of public company targets, potential bidders and their respective advisors with respect to the use and enforceability of such standstill provisions. As a result, we believe public company targets will continue to negotiate for “don’t ask, don’t waive” standstill provisions as a tool designed to maximize shareholder value in a well-structured auction process.

Background

On November 27, 2012, in Complete Genomics, Vice Chancellor Laster enjoined a target company from enforcing a “don’t ask, don’t waive” standstill provision and analogized it to a "no-talk" provision in a merger agreement, albeit that the standstill provision only applied to the bidder that was bound by it. The court noted that Delaware courts have deemed no-talk provisions impermissible because by agreeing to them a board would be violating its duty to take care to be informed of all material information reasonably available. Vice Chancellor Laster held that by agreeing to the “don’t ask, don’t waive” standstill — which prevented the board from knowing whether a bidder that did not win the auction is willing to offer a higher price despite its contractual agreement not to do so — the Complete Genomics board impermissibly limited its ability to discharge its ongoing statutory and fiduciary obligations to properly evaluate a competing offer, disclose material information and make a meaningful merger recommendation to its stockholders. The court issued an injunction even though there was no indication that the counterparty to the applicable standstill agreement intended to make a topping bid.

Commentators were concerned that Vice Chancellor Laster’s ruling in Complete Genomics, if broadly adopted, could affect the way public company auctions are conducted. Target companies often seek a “don’t ask, don’t waive” standstill to help run an orderly auction process where the bidders that are invited to participate in the process are incentivized to submit their highest bid prior to the seller signing and announcing the deal. If auction bidders read the court’s ruling as assuring themselves a last look, they could be incentivized to not put their full bid on the table or to stand back rather than bid against themselves.

What Happened?

Just three weeks later, on December 17, 2012, in Ancestry.com, Chancellor Strine recognized that “don’t ask, don’t waive” standstills may be properly used by sellers “as a gavel, to impress upon the people that it has brought into the process the fact that the process is meaningful; that if you're creating an auction, there is really an end to the auction for those who participate. And therefore, you should bid your fullest because if you win, you have the confidence of knowing you actually won that auction at least against the other people in the process.” Chancellor Strine cautioned, however, that directors must “be darn careful” when using these types of standstills. His ruling highlighted that neither the CEO nor the board was informed about the potency of the provision, and he noted that it was not clear whether the banker was even aware of it. Chancellor Strine also stated that if “don’t ask, don’t waive” standstills are going to be used, stockholders need to be aware that there are a group of potential bidders who are contractually prohibited from submitting a topping bid. The court enjoined the Ancestry.com stockholder meeting until proper disclosure was made.

Now What?

In Ancestry.com, Chancellor Strine recognized the value-maximizing purpose of effectively employed “don’t ask, don’t waive” standstills in a well-structured auction process, but cautioned that there use will be subject to careful review. His ruling should give public company boards comfort that as long as they are well informed of the effect that “don’t ask, don’t waive” standstills have on potential bidders who are bound by them, and the directors believe that such standstills will help maximize value for stockholders, such standstills can be used.

From a disclosure perspective, if a “don’t ask, don’t waive” standstill provision is used, stockholders should be informed that although a bidder who did not participate in the auction process may submit a topping bid, stockholders should not assume that the potential bidders who did participate in the process and who are subject to the standstill will be able to do so.

Barbara Walters Hospitalized

Barbara Walters was hospitalized yesterday after taking a nasty spill that left her with a serious cut on her forward. It may not sound that serious but wait tell you see just how the famous journalist hurt herself.

US Weekly is reporting that Walters is recovering nicely at the hospital from a fall she suffered at the home of the British Ambassador’s residence. While at his home on Saturday night she fell on a stair and even though she cut her head, she appears to be doing just fine. ABC News senior vice president, Jeffrey W. Schneider, released the below statement regarding the condition of Barbara.

“Out of an abundance of caution, she went to the hospital to have her cut tended to, have a full examination and remains there for observation. Barbara is alert (and telling everyone what to do), which we all take as a very positive sign.”

83-year old Barbara is spending the weekend in Washington D.C. to cover all the Inauguration events. However it is being reported that because of her injury it looks like she will not be contributing to any of ABC’s reports tomorrow. Despite that fact that the fall she sustained was not serious, she is still being kept for observation and needs to remain in the hospital. At her age any fall could be serious and I would assume that the doctors are just taking precautions. Plus if you recall given her heart issues, she had surgery in 2010 to replace a faulty heart valvue, you can never be too cautious.

Despite falling on a step and cutting her forehead Barbara Walters being hospitalized seems like nothing more than a precaution. She will certainly be missed at Barack Obama’s second Inauguration tomorrow but her health is way more important. Here is hoping that Babs makes a fast and speedy recovery. For those of you hoping to hear what went down in her own words be sure to tune in to The View this week, perhaps even Tuesday if she is back then, because I am sure Walters will give everyone the low down on it.

Selena Gomez: Nylon Magazine Cover Feb 2012

Selena Gomez is doing a lot more than capturing the love of Bieber, and the scorn of his young female fans. These days, she is starring in small-time movies and doing magazine covers. She appears on the cover of Nylon Magazine for the month of February 2012.

Everyone is poking fun at this Spring Breakers movie, and for good reason. It seems like a ridiculous movie, but what did you expect out of her? No offense to Selena, but she doesn’t usually appear in blockbuster hits.

So she managed to land on the cover of Nylon wearing some kind of Spring Break inspired garb.

Delaware Chancery Court Holds That a Stockholder Inadequately Represents a Corporation in Derivative Litigation When He or She Files a Caremark Claim Without First Making a Section 220 Books and Records Demand

In South v. Baker, C.A. No. 7294-VCL, 2012 Del. Ch. LEXIS 229 (Del. Ch. Sept. 25, 2012), the Delaware Court of Chancery adopted a rebuttable presumption of inadequate representation when a stockholder asserts a “Caremark claim” without first investigating the claim using Section 220 of the Delaware General Corporation Law (“Section 220”), a statute allowing under certain conditions stockholder inspection of the corporation’s books and records.  Because the dismissal of a stockholder’s derivative action due to inadequate representation has no preclusive effect on the litigation efforts of other stockholders, the court in South adopted and applied the presumption to ensure that its order dismissing with prejudice plaintiffs’ inadequately pled complaint would not bar other stockholders of the corporation (who had properly opted to use Section 220 rather than sue in the first instance) from later pursuing the same claim on behalf of the corporation.

Plaintiffs purportedly were stockholders of Hecla Mining Company (“Hecla”). Hecla is a Delaware corporation headquartered in Idaho that discovers metals, including silver. In 2011, Hecla’s Idaho mine suffered three mishaps, resulting in death and injury to mine workers. In January 2012, Hecla announced a U.S. agency’s closure of the mine pending removal of dangerous conditions, and adjusted downward the company’s silver production estimates. Later that same month, the agency announced that it had issued 59 citations and 15 orders against Hecla relating to unsafe mine conditions.

On February 1, 2012, Hecla investors filed the first of two federal securities class actions against Hecla, seeking damages. Between February 23 and 29, 2012, Hecla stockholders brought three derivative actions in Idaho against Hecla’s directors, each asserting a “Caremark claim” concerning the safety problems at the Idaho mine. In a “Caremark claim” — which gets its name from In re Caremark International Inc. Derivative Litigation, 698 A.2d 959 (Del. Ch. 1996) — stockholders seek to hold directors liable to the corporation for injury the corporation suffers when the directors knowingly cause or consciously permit the corporation to violate positive law, or utterly fail to take steps to ensure the corporation’s compliance with positive law.

On March 1, 2012, the Souths filed a derivative action in Delaware asserting the same Caremark claim.  Three more identical derivative actions in Idaho followed shortly thereafter.  All of the plaintiffs ignored the Delaware Supreme Court’s admonitions to use Section 220 to investigate the basis for a Caremark claim before asserting one.  See, e.g., Beam ex rel. Martha Stewart Living Omnimedia, Inc. v. Stewart, 845 A.2d 1040, 1056 (Del. 2004).  Notably, however, two Hecla stockholders had not sued and were at the time of the court’s opinion pursuing Section 220 demands.

Defendants moved to dismiss the Delaware action for failure to adequately plead “demand futility,” i.e., particularized facts creating doubt that Hecla’s board would have properly exercised its independent and disinterested business judgment in responding to a litigation demand. As the court explained, a sufficient nexus must exist between the corporate trauma (here, the mine accidents and resulting securities litigation) and the board of directors that gives rise to a risk of personal director liability, without which there is no basis to doubt the board’s ability to evaluate the litigation demand. The Chancery Court held that the complaint failed to plead facts connecting the three mine accidents to Hecla’s board, such as what the directors were told, what the board’s response was, or that the incidents were connected. The court noted that a Section 220 request might have supplied the facts needed to show demand futility.

In dismissing the complaint with prejudice, the court voiced concern that the dismissal might preclude those Hecla stockholders who served Section 220 demands and who might eventually seek to assert the same claim on behalf of Hecla. Because a dismissal due to a stockholder plaintiff’s failure to adequately represent the corporation has no preclusive effect, the court delineated and adopted a rebuttable presumption that when a stockholder rushes to assert a Caremark claim without first resorting to Section 220 to show a connection between the corporate trauma and director action or inaction, the stockholder inadequately represents the corporation. Such a presumption had only been suggested in prior Chancery Court opinions.

The court explained that, unlike derivative claims directly challenging specific board decisions, with Caremark claims, a connection to the board cannot be reasonably inferred from the occurrence of the corporate trauma itself, so an investigation is usually necessary. There is also usually no need to immediately file a Caremark claim as related regulatory proceedings and regulatory actions rarely will be resolved. At that moment, a Caremark claim does not serve the corporation’s interests: “A plaintiff who hurries to file a Caremark claim after the announcement of a corporate trauma behaves contrary to the interests of the corporation but consistent with the desires of the filing law firm to gain control of (or a role in) the litigation.”

In South, the court applied the presumption and found the prerequisites satisfied. It found no grounds for rebuttal. As the court put it, there was no “entity-beneficial reason for filing” at the time of filing. Indeed, plaintiffs’ counsel conceded that he filed hastily because of concern that other stockholder plaintiffs who had moved quickly (as they had also not made and awaited the results of Section 220 demands), might gain control of the litigation. The court concluded that plaintiffs inadequately represented Hecla. The court’s dismissal will not preclude the litigation efforts of other Hecla stockholders but will only bar the named plaintiffs.

South signals that failure to conduct a pre-suit Section 220 investigation will likely lead to a dismissal with prejudice of Caremark claims, albeit without preclusive effect on other stockholders. Delaware corporations should continue to expect to see an increase in Section 220 demands, as stockholders jockey to be the first to obtain access to the corporation’s books and records before filing suit. When a corporation succeeds in dismissing a Caremark claim not preceded by a Section 220 demand, the dismissal will be a narrow victory against that stockholder alone.

Soap Dish: Alison Sweeney Celebrates 20 Years on Days Of Our Lives

It is Soap Dish time again and this week I am dishing all about Alison Sweeney celebrating 20-years as Sami Brady on Days of Our Lives. Can you believe she been on the hit NBC show for two decades?

On January 5th Alison makred 20-years in Salem. She has taken the character of Sami Brady from traumatized troubled teen, to conniving younger woman, to bad girl tuned good, to the woman you love to hate, to now the woman who still has a little sinister Sami in her but is also a loving caring mother. The transformation of the character has been quite the journey and it could not have been done if Sweeney had not been playing Sami. Alison made you love Sami even when you hated her actions you couldn’t help but still want to root for her. It takes a very talented person to pull that off.

There are so many fabulous story lines that Sweeney and the character of Sami have had over the years I can’t even remember them all. However I do have a couple of my favorites I want to share. Of course there is the one where Sami catches John and Marlena having an affair and later kidnaps baby Belle because she knows John is the baby’s daddy not her father Roman. Then there is the story line where Sami is accused of killing Franco and gets the death penalty. That one I love because you really saw the vulnerable side of Sami. I also love any story that involves her and blackmail, remember when Victor had a stroke after Sami showed him pics of hooker Kate, classic. I could go on and on but honestly there are too many to talk about. I could write a whole column about that alone, seriously.

It is rare for an actor or actress to play the same role on the same show for so long but it seems that Alison found her home there years ago. Along with seeing the character of Sami grow up fans have also seen Sweeney go from teen, to young woman to working mother. Seriously I think she may be the hardest working woman mother in show biz and she pulls it all off flawlessly. Despite how her life has changed playing Sami has been the one constant, not just for her but for fans too. I am a huge huge fan of Alison’s and I think it is freaking awesome that she has stayed on Days all these years as her life has grown. She could have easily left as she took on more jobs but didn’t. I think that is a true testament to what kind of person she is. That being said I want to say thanks to Alison for sticking around Salem for all these years, you and Sami always make my day better.

Robert Rodriguez Would Direct Han Solo-Centric 'Star Wars' Movie

Though the mystery of the "Star Wars: Episode VII" director may be solved, the future of the franchise and the talk of spin-off movies still lingers. In theory, standalone movies set in the "Star Wars" universe would be a way of attracting serious talent who would otherwise be hesitant to commit to numbered installment and who could put their own spin on George Lucas' world.

Given the chance to talk to Robert Rodriguez at this year's Sundance Film Festival, of course MTV News' Josh Horowitz had to ask if the genre director would ever like to take a crack at the world of Jedis and intergalactic smugglers.

In general, Rodriguez is definitely on board for standalone "Star Wars" movies. "I don't mind them doing more 'Star Wars,' " he said. "I also like the whole idea of them doing off-shoot films, like you just have a 'Boba Fett' movie over here."

"There's so much you can do. George has built such an enormous world that just to be waiting now again, who's going to live up that? It's almost like they should just branch it out, and let people play with those characters. There's such rich stuff."

But don't assume that the prospect of toying with the "Star Wars" universe is going to attract every fanboy director. "I don't know. It depends on what it was. George really inspired me to do what I'm doing now, which is the same thing he did," Rodriguez said. "He originally wanted and couldn't get the rights to 'Flash Gordon.' He tried, couldn't get it, so he went and wrote 'Star Wars,' which was his complete take on 'Flash Gordon,' even to the opening titles crawl that went that way.... I think if I asked [Lucas] for advice, he would say 'Go make your own "Star Wars" universe, kid.' "

Given the opportunity, however, Rodriguez simply couldn't turn down Han Solo. "If there was something that somebody said, 'Here, Han Solo, his own adventures.' I'd go do that."
